The Attorney-General of the Federation and Minister of Justice, Lateef Fagbemi, SAN, has directed the Corporate Affairs Commission (CAC), to reverse all corporate filings made against Jonah Capital Nigeria Limited and Houses for Africa Nigeria Limited.
The directive, contained in a letter dated December 30, 2025, and signed by the Director of Public Prosecutions of the Federation, M.B. Abubakar, followed a review which found no prima facie case against the companies’ principals.
According to the AGF, the earlier administrative actions were inconsistent with due process and should be rescinded, with the companies’ records restored to their original status.
The decision came after a review of police case files arising from allegations of forgery and fraud involving Sir Samuel Esson Jonah, Kojo Ansah Mensah, Victor Quainoo and Abu Arome.
The AGF said the matter stemmed from a petition alleging unlawful share expropriation and removal of directors, but concluded that the dispute was commercial in nature and not criminal.
He also cautioned the CAC against actions capable of undermining the authority of the courts.
In a separate letter to the Inspector-General of Police, the AGF criticised the investigation as misleading and faulted the police for attempting to criminalise a commercial dispute.
He, however, directed the police to investigate allegations of intimidation, assault and destruction of property at River Park Estate and ensure the protection of lives and property in the area.
